In case of any inconsistency between the English and Chinese versions, the English version shall prevail.

These Terms of Use ("Terms") govern your access to and use of the Roomate.Club platform ("the Service"), operated by Jumbo Media & Films Co. ("we," "us," or "our"). The Service is a booking platform for party rooms and shared spaces in Hong Kong. We are not an Online Travel Agency (OTA) and do not provide any travel services or products. Transactions are direct between users and vendors, with Roomate.Club serving only as a booking system provider (see Section 2.4). By accessing or using the Service, including our website (https://roomate.club), progressive web app (PWA), iOS app, Android app, and related applications, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Use of the Service

2.1 Account Registration

To access certain features, such as making bookings, you must register an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep your account credentials secure. You are responsible for all activities under your account. You may not share your account credentials with others or allow unauthorized access to your account. You are responsible for all actions taken through your account, including on multiple devices. Notify us immediately at [email protected] if you suspect unauthorized use.

2.2 Booking Process

The Service facilitates bookings of party rooms and shared spaces from third-party vendors. We act solely as an intermediary and do not own, operate, or control the venues. Listings are provided by vendors and are user-generated. We do not verify, endorse, or guarantee the accuracy, availability, condition, or suitability of venues (including against closures or undelivered services). You bear all risks from false descriptions, damages caused by you to properties, or vendor non-performance. You are responsible for complying with the vendor’s terms, policies, and cancellation rules, which will be provided during booking. You acknowledge that we do not verify licences, including Places of Entertainment Licences, or amenities due to the volume of listings (see Section 2.3.1).

2.3 Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Misrepresent your identity or provide false information.
  • Engage in fraudulent activities, including unauthorized use of payment methods or malicious cancellations.
  • Interfere with or disrupt the Service, including introducing viruses or malicious code.
  • Use the Service to harass, harm, or discriminate against others.
  • Post false listings or reviews (violating the Trade Descriptions Ordinance).
  • Promote or engage in activities violating intellectual property laws, such as unauthorized use of copyrighted materials; reports of such will be handled per Section 2.3.1.
  • Reproduce, modify, or distribute any content from the Service without our prior written consent.

2.3.1 Illegal or Unauthorized Content

Although we strive to ensure the Service complies with applicable legal standards, all venue listings and content (including descriptions of amenities like karaoke systems, gaming consoles, or paid TV channels) are user-generated and provided by vendors. We have no right, obligation, or responsibility to verify that vendors hold valid licenses, permits, or authorizations for such amenities, including under copyright laws (e.g., the Copyright Ordinance, Cap. 528), entertainment venue regulations (e.g., the Places of Public Entertainment Ordinance, Cap. 172, requiring a Places of Entertainment Licence for public entertainment activities), or other regulations. Given the large number of property listings on the Service, we lack the practical ability to conduct comprehensive checks on all listings, but we endeavor to maintain overall legal compliance to the extent reasonably possible.

Any use of unlicensed or infringing materials, including unlicensed entertainment facilities, is the sole responsibility of the vendor and users. We are not liable under the Trade Descriptions Ordinance for vendor content. If you discover or suspect illegal activity, such as operation without a required Places of Entertainment Licence or unauthorized use of copyrighted content, in a listing, please report it to us promptly at [email protected] with details and evidence. If you believe another user’s conduct (e.g., posting abusive reviews or messages) violates these Terms or applicable laws, you may report it to us at [email protected] or via our Helpdesk (http://helpdesk.jumbo-media.com/contact). We will review reports in our reasonable discretion and may take actions such as removing content or suspending accounts, but we are not obligated to act on every report. We are not required to proactively monitor or investigate content but will act in good faith on credible notices to maintain the Service's integrity.

2.4 Nature of Transactions and Trade Descriptions

All bookings, orders, and transactions facilitated through the Service (except for our Platform Fee and any service fees charged directly by us) constitute direct trades between you (the user) and the vendor (the property owner, which may be a Hong Kong-registered business or an individual, including a Hong Kong Permanent Resident). We act solely as a technology provider for booking management and do not participate in, control, or assume responsibility for these trades.

Vendor listings, descriptions, and services are provided by the vendor and are user-generated. We do not verify, endorse, or guarantee their accuracy, completeness, or compliance with the Trade Descriptions Ordinance (Cap. 362). Any false or misleading descriptions in vendor content are the sole responsibility of the vendor, and you agree to direct any claims or disputes under the Trade Descriptions Ordinance or related laws to the vendor. We are not a party to the user-vendor contract and disclaim all liability arising from such trades, including but not limited to property conditions, damages, closures, or undelivered services.

2.5 Platform Availability

We strive to maintain continuous availability of the Service but may perform scheduled maintenance or updates that temporarily affect access. We are not liable for any inconvenience or losses caused by such interruptions, subject to applicable law.

3. Payments and Fees

3.1 Booking Fees

When making a booking, you agree to pay the total amount displayed, which includes the venue fee, Platform Fee (charged to you and displayed at booking, e.g., a fixed amount or percentage), any applicable service fees, taxes, and payment processing costs. We collect a commission percentage from vendors for our booking management tools. Payments are processed through third-party processors (e.g., Stripe, including Alipay and WeChat Pay), and you agree to their terms of service. All payments are in HKD and final unless per vendor policy (see Section 3.2). Platform Fees are non-refundable except as specified in vendor policies.

3.2 Cancellations and Refunds

Cancellations are subject to the vendor’s specific policy, which will be displayed at the time of booking and may allow for 50% or 100% refunds if canceled in advance by a specified date or time (varying by property). Not all bookings are eligible for refunds, and partial refunds (e.g., deducting Platform Fees) may apply.

A cancellation is deemed successful only upon your receipt of a confirmation notification email from the Service. We will process eligible refunds through Stripe, and the time for funds to appear in your account will vary based on Stripe’s processing times (typically 5-10 business days, but subject to their terms and payment method, e.g., credit cards, Alipay, or WeChat Pay). We do not guarantee refunds and are not responsible for any delays, fees, or disputes arising from Stripe or vendor policies, subject to applicable law. You agree to check your email (including spam folders) for notifications.

If we detect multiple malicious cancellations (e.g., repeated bad-faith cancellations intended to abuse the refund system), we reserve the right to terminate your account or ban access from associated IP addresses to prevent fraud, in accordance with Section 10.

3.3 Points and Loyalty Program

The Service offers a loyalty program ("Points Program") where users may earn Points based on completed bookings or participation in promotional campaigns. The number of Points awarded is calculated at a ratio that may vary depending on the booking amount, campaign terms, or our discretion. Points are displayed in listings (e.g., "可賺取高達 X Point") but are not guaranteed and are subject to the terms of the specific booking or campaign.

Points have no monetary value and cannot be redeemed, exchanged, or converted into cash, credits, or any other form of monetary compensation under any circumstances. We reserve the right to modify the Points Program, including earning ratios, award criteria, or redemption options (if any), at any time without prior notice. We may also, at our sole discretion, deduct, forfeit, or terminate all or part of your accumulated Points for any reason, including suspected abuse, violation of these Terms, or program changes.

We are not liable or obligated to compensate you for any loss of Points, whether due to our actions, technical issues, your fault, or any other reason. Points are non-transferable and tied to your account; upon account termination, all Points will be forfeited.

4. Privacy and Data Protection

We are committed to protecting your personal data in accordance with the Personal Data (Privacy) Ordinance (Cap. 486). Our Privacy Policy (https://roomate.club/privacy_policy), which forms part of these Terms, details how we collect, use, store, and disclose personal data (e.g., for bookings, reviews, favorites, analytics, and Points tracking). By using the Service, you consent to such processing for the purposes stated in the Privacy Policy and at the point of collection (e.g., via registration forms). Data is shared with third parties like Stripe (payments), Mailgun (emails), Didit.me (KYC verifications), Google (Analytics/Maps/reCAPTCHA), Mapbox (locations), and Data.gov.hk (https://data.gov.hk/en-data/dataset/hk-dpo-statistic-cal) for scheduling, only as necessary. We may log IP addresses for security and fraud prevention, including detecting malicious cancellations.

You have rights to access, correct, or request deletion of your data; contact us at [email protected]. We implement reasonable security measures but cannot guarantee absolute protection. For marketing (e.g., promotions via notifications for latest offers, exclusive deals, booking updates, and important reminders), we will seek separate consent.

5. Third-Party Services

The Service integrates third-party services, including:

  • Google Analytics: For usage analytics.
  • Google reCAPTCHA: For security and fraud prevention.
  • Google Maps: For locations.
  • Mapbox: For mapping and location services.
  • Mailgun: For email notifications.
  • Didit.me: For KYC and identity verification.
  • Data.gov.hk (https://data.gov.hk/en-data/dataset/hk-dpo-statistic-cal): For scheduling.
  • Stripe: For payments, including Alipay and WeChat Pay.

These third-party services are subject to their own terms and privacy policies. We are not responsible for the performance, availability, or practices of these third parties. Payments are processed via Stripe and its partners; you agree to their terms.

6. Intellectual Property

All content on the Service, including text, images, logos, and software, is the property of Jumbo Media & Films Co. or its licensors and is protected by intellectual property laws. You may not use, copy, or distribute any content without our prior written permission, except for personal, non-commercial use as permitted by these Terms. This includes vendor listings, except as licensed for platform use.

7. User Content

You may submit content to the Service, such as reviews, ratings, favorites, or messages to vendors ("User Content"). Vendor listings are also User Content. This includes vendor-provided details on licensed amenities; vendors are responsible for ensuring their listings comply with laws, including obtaining necessary licences (e.g., under the Places of Public Entertainment Ordinance). Our Service includes a favorites system and a ratings/comments system for venues. The ratings system is provided solely as a reference and should not be used as a criterion for deciding whether to make a booking. Ratings, including star ratings, comments, and any associated images, are entirely user-generated content. We use algorithms to calculate the overall rating for a property to maintain fairness, and adjustments may be applied. The weighting (比重) between different users' ratings may vary. We do not respond to or take responsibility for any issues arising from ratings or user content. You are responsible for ensuring your favorites, ratings, and comments are accurate, lawful, and non-misleading. We reserve the right to moderate, edit, or remove any favorites, ratings, or comments that violate these Terms, are suspected to be fraudulent, or may mislead other users, in our sole discretion. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Service. You represent that your User Content does not infringe on the rights of any third party and complies with applicable laws. We may moderate or remove content that violates laws (e.g., Trade Descriptions Ordinance) or these Terms, but we are not obligated to monitor.

8. Limitation of Liability

To the fullest extent permitted by law, including the Control of Exemption Clauses Ordinance (Cap. 71), we are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to:

  • Loss of profits, data, or goodwill.
  • Disputes between you and vendors, including issues with bookings, venue conditions, cancellations, or claims under the Trade Descriptions Ordinance (see Section 2.4).
  • Errors, interruptions, or unavailability of the Service.
  • Unauthorized access to your account or data.
  • Claims related to unlicensed vendor amenities, copyright infringements, or other regulatory non-compliance by vendors (see Section 2.3.1).
  • Delays in refunds due to Stripe processing or malicious activity investigations.
  • Loss or forfeiture of Points under the Points Program (see Section 3.3).

These limits do not apply to liability for death, personal injury from our negligence, or fraud. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the preceding 12 months. Subject to applicable law, we do not guarantee refunds.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages, including legal fees, arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, if you violate these Terms or engage in conduct that we believe is harmful to the Service or other users. Upon termination, your account and any associated data may be deleted, subject to applicable laws. All Points will be forfeited upon account termination (see Section 3.3).

10.1 Enforcement for Malicious Activity

In addition to general termination rights, we may suspend or terminate accounts and ban IP addresses for repeated violations, including malicious cancellations that constitute fraudulent or abusive use of the Service (e.g., under Section 2.3). Such actions will be taken at our reasonable discretion after investigation, and we will notify you where practicable.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes arising from these Terms or your use of the Service shall be resolved through negotiation in good faith. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

12. Changes to These Terms

We may update these Terms from time to time, and we may not notify you of every change. Significant updates will be communicated by posting the revised Terms on our website, sending an email, or via app notifications. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

13. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, or third-party service disruptions (e.g., payment processors or Data.gov.hk). In such cases, we will endeavor to restore normal service as soon as practicable but are not obligated to provide compensation or refunds, subject to applicable law.

2.2 預訂流程

本服務促進與第三方供應商的派對房間及共享空間預訂。我們僅作為中介,不擁有、運營或控制場地。上市由供應商提供,並為用戶生成內容。我們不驗證、認可或保證場地的準確性、可用性、狀況或適合度(包括關閉或未提供服務)。您承擔因虛假描述、您對物業造成的損壞或供應商未履約的全部風險。您有責任遵守供應商的條款、政策及取消規則,這些將在預訂過程中提供。您承認由於上市數量龐大,我們不驗證牌照(包括娛樂場所牌照)或設施(見第2.3.1節)。

2.3 禁止活動

您同意不:

  • 將服務用於任何非法或未經授權的目的。
  • 誤報您的身份或提供虛假資料。
  • 從事欺詐活動,包括未經授權使用付款方式或惡意取消。
  • 干擾或破壞服務,包括引入病毒或惡意代碼。
  • 使用服務騷擾、傷害或歧視他人。
  • 張貼虛假上市或評論(違反《商品說明條例》)。
  • 推廣或從事違反知識產權法的活動,例如未經授權使用版權材料;此類報告將根據第2.3.1節處理。
  • 未經我們事先書面同意,複製、修改或分發服務中的任何內容。

2.3.1 非法或未經授權內容

雖然我們致力確保本服務符合適用法律標準,但所有場地上市及內容(包括如卡拉OK系統、遊戲機或收費電視頻道等設施的描述)均為用戶生成並由供應商提供。我們無權、無義務或責任驗證供應商是否持有該等設施的有效牌照、許可或授權,包括根據版權法(例如《版權條例》(第 528 章))、娛樂場所規例(例如《公共娛樂場所條例》(第 172 章),要求公共娛樂活動持有娛樂場所牌照)或其他規例。由於本服務上的物業上市數量龐大,我們缺乏實際能力對所有上市進行全面檢查,但我們盡力在合理範圍內維持整體法律合規。

2.4 交易性質及商品說明

供應商的上市、描述及服務由供應商提供,並為用戶生成內容。我們不驗證、認可或保證其準確性、完整性或符合《商品說明條例》(第 362 章)的規定。供應商內容中的任何虛假或誤導性描述均由供應商獨自負責,您同意將任何根據《商品說明條例》或相關法律的索賠或爭議直接向供應商提出。我們不是用戶-供應商合約的當事方,並免除因此類交易引起的全部責任,包括但不限於物業狀況、損壞、關閉或未提供服務等。

2.5 平台可用性

我們致力維持服務的持續可用性,但可能進行計劃性維護或更新,暫時影響存取。我們對因此類中斷導致的任何不便或損失不承擔責任,惟須遵守適用法律。

3. 付款及費用

3.1 預訂費用

當您進行預訂時,您同意支付顯示的總金額,包括場地費用、平台費(向您收取,並於預訂時顯示,例如固定金額或百分比)、任何適用的服務費、稅項及付款處理費用。我們從供應商收取佣金百分比,用於我們的預訂管理工具。付款通過第三方付款處理商(例如Stripe,包括支付寶及微信支付)處理,您同意其服務條款。所有付款以港幣結算,並為最終付款,除非根據供應商政策(見第3.2節)。平台費不可退款,除非供應商政策另有規定。

3.2 取消及退款

取消受供應商特定政策的約束,該政策將在預訂時顯示,並可能允許於指定日期或時間前取消以獲取 50% 或 100% 退款(視物業而定)。並非所有預訂均符合退款資格,且可能適用部分退款(例如扣除平台費)。

取消僅於您收到本服務的確認通知電郵後,方視為成功。我們將透過 Stripe 處理合資格退款,資金顯示於您的帳戶時間將視 Stripe 處理時間而定(通常為 5-10 個工作日,但受其條款及付款方式影響,例如信用卡、支付寶或微信支付)。我們不保證退款,且不對 Stripe 或供應商政策引起的任何延遲、費用或爭議負責,但須遵守適用法律。您同意檢查您的電郵(包括垃圾郵件資料夾)以獲取通知。

如我們發現多宗惡意取消(例如重複惡意取消意圖濫用退款系統),我們保留終止您的帳戶或禁止相關 IP 位址存取的權利,以防止欺詐,詳見第 10 節。

3.3 積分及忠誠計劃

本服務提供忠誠計劃(「積分計劃」),用戶可根據完成的預訂或參與推廣活動賺取積分。積分獎勵數量按訂單金額、活動條款或我們酌情權計算的比率計算,可能有所不同。積分於上市中顯示(例如「可賺取高達 X Point」),但並非保證,並受特定預訂或活動條款約束。

積分無任何貨幣價值,在任何情況下均不可兌換、交換或轉換為現金、信用或其他形式的貨幣補償。我們保留隨時修改積分計劃的權利,包括賺取比率、獎勵標準或兌換選項(若有),無需事先通知。我們亦可自行酌情扣減、沒收或終止您的全部或部分累積積分,原因包括涉嫌濫用、違反本條款或計劃變更。

無論因我們行為、技術問題、您的過錯或其他原因,我們均無責任或義務補償您因任何積分損失而遭受的損害。積分不可轉讓,並與您的帳戶綁定;帳戶終止時,所有積分將被沒收。

4. 私隱及資料保護

我們致力根據《個人資料(私隱)條例》(第 486 章)保護您的個人資料。我們的私隱政策(https://roomate.club/privacy_policy),作為本條款的一部分,詳述我們如何收集、使用、儲存及披露個人資料(例如用於預訂、評論、收藏、分析及積分追蹤)。使用本服務即表示您同意按私隱政策及收集時所述目的處理資料(例如透過註冊表格)。資料僅於必要時與第三方分享,例如 Stripe(付款)、Mailgun(電郵)、Didit.me(KYC驗證)、Google(Analytics/地圖/reCAPTCHA)、Mapbox(位置)及 Data.gov.hk(https://data.gov.hk/en-data/dataset/hk-dpo-statistic-cal)用於排程。我們可能記錄 IP 位址用於安全及防欺詐,包括偵測惡意取消。

您可能向服務提交內容,例如評論、評分、收藏或與供應商的訊息(「用戶內容」)。供應商上市亦為用戶內容。此包括供應商提供的牌照設施詳情;供應商負責確保其上市符合法律,包括取得必要牌照(例如根據《公共娛樂場所條例》)。本服務包括收藏系統及場地評分/評論系統。評分系統僅作為參考,不應作為決定是否預訂的標準。評分(包括星級評分、評論及任何相關圖片)均為用戶生成內容。我們使用算法計算物業的整體評分以維持公平性,並可能進行調整。不同用戶評分的比重可能有所不同。我們對因評分或用戶內容引起的任何問題不予回應或承擔責任。您有責任確保您的收藏、評分及評論準確、合法且不具誤導性。我們保留權利,按自行酌情權審核、編輯或移除任何違反本條款、涉嫌欺詐或可能誤導其他用戶的收藏、評分或評論。提交用戶內容即表示您授予我們非獨家、全球性、免版稅的許可,允許我們使用、複製、修改及展示該內容以運營服務。您聲明您的用戶內容不侵犯任何第三方的權利,並符合適用法律。我們可能審核或移除違反法律(例如《商品說明條例》)或本條款的內容,但無義務監察。

8. 責任限制

在法律允許的最大範圍內,包括《免責條款管制條例》(第 71 章),我們不對因您使用服務而導致的任何間接、附帶或後果性損害承擔責任,包括但不限於:

  • 利潤、資料或商譽的損失。
  • 您與供應商之間的爭議,包括預訂、場地狀況、取消或根據《商品說明條例》的索賠(見第 2.4 節)。
  • 服務的錯誤、中斷或不可用。
  • 未經授權存取您的帳戶或資料。
  • 與供應商未經牌照設施、版權侵權或其他規管不合規相關的索賠(見第 2.3.1 節)。
  • 因 Stripe 處理或惡意活動調查導致的退款延遲。
  • 根據積分計劃的積分損失或沒收(見第 3.3 節)。

這些限制不適用於因我們疏忽導致的死亡、個人傷害或欺詐責任。我們對因本條款或服務引起的任何索賠的總責任不超過您在過去12個月內支付給我們的金額。但須遵守適用法律,我們不保證退款。

9. 賠償

您同意賠償並使我們免受因您使用服務、違反本條款或侵犯任何第三方權利而導致的任何索賠、損失或損害(包括法律費用)的影響。

10. 終止

如您違反本條款或從事我們認為對服務或其他用戶有害的行為,我們可自行決定暫停或終止您對服務的存取,無需事先通知。終止後,您的帳戶及相關資料可能會被刪除,但須遵守適用法律。帳戶終止時,所有積分將被沒收(見第 3.3 節)。

10.1 針對惡意活動的執行

除一般終止權利外,我們可針對重複違規暫停或終止帳戶並禁止 IP 位址,包括構成欺詐或濫用本服務的惡意取消(例如根據第 2.3 節)。此類行動將按我們合理酌情權於調查後執行,並於可行情況下通知您。

11. 適用法律及爭議解決

本條款受香港特別行政區法律管轄。因本條款或您使用服務引起的任何爭議應通過誠信協商解決。如協商失敗,爭議應提交香港法院的專屬管轄權。

12. 本條款的更改

我們可能會不時更新本條款,且未必每次均會通知您。重大更新將透過在網站上發佈修訂後的條款、發送電郵或應用程式通知進行通報。您在更改後繼續使用本服務即表示您接受更新後的條款。

13. 不可抗力

對於因我們合理控制範圍以外的事件(包括但不限於自然災害、政府行動、疫情或第三方服務中斷,例如付款處理商或 Data.gov.hk)導致的無法履行或延遲履行本條款義務,我們不承擔責任。在該等情況下,我們將盡力儘快恢復正常服務,但無義務提供補償或退款,惟須遵守適用法律。
